Terms of Service

Agreement
These Terms of Service govern your access to Prompt Prospect, a service operated by Adam Scholes LLC ("we," "us," or "our"). By accessing or using the service, you agree to these terms. If you use Prompt Prospect for an organization, you represent that you can bind that organization to these terms.
The service
Prompt Prospect helps business teams find prospects through public social activity. You create watches on public people, companies, or keywords. When someone publicly engages with a watched post, Prompt Prospect captures that engagement, enriches the person from publicly available profile information, and uses AI models to evaluate how well the person matches the ideal-customer profile you configure. Prompt Prospect does not connect to your mailbox, does not read or store your email, and does not send messages on your behalf. Features may change over time. You remain responsible for your watches, your configurations, and what you do with the results.
Accounts and workspaces
- Provide accurate information and protect your login credentials.
- You are responsible for activity under your account, including the members you invite to your workspaces.
- An account may contain multiple workspaces, for example an agency managing separate clients. The account's subscription and credits cover all of its workspaces.
- Comply with applicable privacy, marketing, and communications laws and with the policies of the platforms whose public content you watch.
Subscriptions, credits, and trials
Paid plans are monthly subscriptions billed through Stripe. Each plan includes a monthly credit allowance; one credit is used each time Prompt Prospect analyzes one person for you. You may add an optional recurring extra-credit block to a subscription. Plans may include a 14-day free trial; cancel before the trial ends and you will not be charged.
You can cancel a subscription at any time. Cancellation takes effect at the end of the current billing period, and your plan remains usable until then. Except where required by law, fees are non-refundable, including for partly used billing periods and unused credits. We may change plans or prices prospectively with reasonable notice.
Acceptable use
You may not use Prompt Prospect to:
- Violate applicable law, including privacy, anti-spam, and marketing laws that govern how you use or act on captured data.
- Resell, license, or redistribute data captured through the service as a standalone data product, or build a database for resale from it.
- Circumvent the terms or technical restrictions of a third-party platform whose public content the service processes.
- Access another person's account or data without authorization.
- Upload malware, disrupt the service, probe security without permission, or reverse engineer protected components except where law permits.
- Copy, clone, reproduce, imitate, or replicate Prompt Prospect or any material feature, workflow, interface, architecture, prompt, output structure, or business process.
- Use the service, documentation, outputs, screenshots, or access credentials for competitive analysis, benchmarking, model extraction, training a competing system, or developing or improving a competing product or service.
- Permit a competitor to access the service or disclose non-public product information to a competitor.
- Violate intellectual-property, privacy, publicity, confidentiality, or other rights.
- Use the service for high-risk decisions where an error could cause death, personal injury, or unlawful discrimination.
We may suspend, restrict, or terminate use in response to complaints, platform notices or policy violations, misuse of captured data, or conduct that threatens users, providers, security, or legal compliance.
Third-party platform data
Information the service captures and enriches comes from content and profiles that are publicly available on third-party platforms at the time of processing. We do not access private profiles, private messages, or content restricted to a person's connections. Public information can be wrong, incomplete, or out of date, and platforms can change what is public at any time; we do not guarantee the accuracy or continued availability of any captured data. You are responsible for using captured data and exports lawfully, including complying with the privacy and marketing laws that apply to how you contact the people you find.
Customer content and data
You retain ownership of content and data you submit. You grant us a limited license to host, process, transmit, display, and create requested outputs from that content solely to provide, secure, and support Prompt Prospect. We do not use customer content to train our own or third-party general-purpose AI models. Our handling of personal information is described in the Privacy Policy, and deletion is described in our Data Deletion Guide.
Our technology and feedback
We and our licensors retain all rights in Prompt Prospect, including its software, designs, prompts, methods, workflows, interfaces, architecture, trade secrets, output formats, and documentation. No license is granted to reproduce, create derivative works from, or build a substitute or competing service using any part of Prompt Prospect. If you provide feedback, you allow us to use it without restriction or compensation, provided we do not publicly identify you without permission.
Third-party services
Prompt Prospect depends on third-party services such as hosting, payment, data, analytics, and AI providers. Your use of those services may be governed by their terms. We are not responsible for third-party services, changes, outages, suspensions, or data supplied by them.
Suspension and termination
We may suspend or terminate access for nonpayment, material breach, security risk, unlawful conduct, or harm to the service or third parties. You may cancel your subscription as described above. Provisions that by their nature should survive termination will survive.
Disclaimers
To the maximum extent permitted by law, Prompt Prospect is provided "as is" and "as available." We disclaim implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. AI evaluations are automated judgments that can be wrong, and captured or enriched data can be inaccurate, incomplete, or stale. We do not guarantee that any person identified through the service is a fit for your business, that capture of public activity is complete, or that the service will be uninterrupted or error-free.
Limitation of liability
To the maximum extent permitted by law, Adam Scholes LLC, its affiliates, and their owners, officers, employees, contractors, and providers will have no liability arising out of or relating to Prompt Prospect, these terms, captured or generated data, your use of exports, or any third-party service. This exclusion applies to all damages, losses, claims, and causes of action, whether direct, indirect, incidental, special, consequential, exemplary, punitive, or otherwise, including lost profits, revenues, data, goodwill, reputation, or business opportunities, regardless of the theory of liability and even if advised that loss was possible. If applicable law does not permit complete exclusion of liability, our total aggregate liability will not exceed the lesser of $100 or the fees you paid us during the three months immediately before the event giving rise to the claim. These limits are an essential basis of the agreement and apply even if a remedy fails of its essential purpose.
Indemnification
You will defend and indemnify Adam Scholes LLC and its affiliates from third-party claims, damages, losses, and reasonable costs arising from your content, your use of the service or of data obtained through it, your violation of law or these terms, or your infringement of another person's rights.
Governing law and disputes
Texas law governs these terms without regard to conflict-of-law rules. The state and federal courts located in Harris County, Texas have exclusive jurisdiction, and each party consents to venue there. Before filing a claim, the parties will attempt in good faith for 30 days to resolve it informally after written notice.
General
These terms and any applicable order form are the entire agreement about the service. If a provision is unenforceable, the remainder stays effective. A waiver must be written. You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition, reorganization, or sale of assets. We may update these terms and will post the effective date above; material changes will apply prospectively after reasonable notice.
